Andrea De Panfilis, a partner at the Firm, focuses on M&A, private equity, and venture capital transactions, working both on the buy-side for leading funds and investors and on the sell-side for some of Italy's leading companies and entrepreneurial families. He has also gained significant experience in generational wealth transfer projects and shareholder restructurings of family businesses. He boasts over twenty years of professional experience and has completed more than 100 M&A transactions. He stands out for the high number of transactions he has handled, which has consistently placed him among the top ten corporate lawyers operating in the Italian market for several years. Before joining the Firm, he worked for several years, both in Italy and abroad, at leading international law firms. He is the author of numerous scholarly publications on corporate and commercial law, including articles in specialized journals and several monographs, working in the areas in which he practices professionally. In recent years, he co-authored the monograph "Extraordinary Operations," published by Il Sole 24 Ore in 2023, as well as the monograph "The Supervisory Body in the 231 System," published by Pacini Giuridica in 2025. He was among the creators and implementers of the first Italian "Deal Point Study," under the aegis of the Private Equity Lab at SDA Bocconi – School of Management. During the 2019-2020 period, the Lab conducted a survey of common practices in M&A transactions, conducting a scientific study on a large sample of SPAs (share purchase agreements), SHAs (shareholders' agreements), and bylaws of companies targeted by M&A and private equity transactions. He regularly collaborates, as scientific coordinator and teacher, on numerous specialized master's programs at 24Ore Business School and is frequently invited to hold seminars and lecture at SDA Bocconi. He is a member of the Tax & Legal Commission of AIFI (Italian Association of Private Equity, Venture Capital and Private Debt). He graduated in Law with full marks and honors from the University of Padua in 2005 and subsequently completed a PhD in corporate law at the same university. He has been a member of the Padua Bar Association since 2010, having passed the bar exam with the highest marks in both the written and oral examinations in his district of the Court of Appeal (2010 honorary degree). He is fluent in Italian and English and has a good knowledge of French.
